What the terms will cover

  • Agreement to terms

    Who these terms bind, and how acceptance is established when an account is created or the platform is used.

  • Definitions

    The meaning of Buyer, Seller, Quote, Request for Quote, Purchase Order, Landed Cost and other platform terms as used throughout this agreement.

  • Eligibility and accounts

    Business-entity eligibility, authority to bind an organisation, account security obligations, and responsibility for activity under an account.

  • Use of the platform

    Permitted use, the neutral role GMEX plays between counterparties, and the activities that are not permitted on the exchange.

  • Quotes, orders and counterparty obligations

    The status of quotes and orders exchanged through the platform, and where contractual responsibility sits between buyer and seller.

  • Fees

    Any charges associated with platform access, together with billing and payment terms.

  • Confidentiality

    Handling of commercially sensitive information exchanged through the platform. See the Trust & Data Protection page for current data-handling practice.

  • Intellectual property

    Ownership of the platform, its content and its trademarks, and the licence granted to users.

  • Disclaimers and limitation of liability

    The basis on which the platform is provided and the limits of GMEX liability.

  • Termination

    How either party may end access, and which provisions survive termination.

  • Governing law and disputes

    The governing jurisdiction and the process for resolving disputes.

  • Changes to these terms

    How changes are made and communicated, and when they take effect.
